ARTICLE 1 – PURPOSE
These Corporate Terms & Conditions (the “Corporate Terms”) govern the contractual relationship between:
HAYSOO – Simplified Joint Stock Company (SAS), operating Le Boudoir, and any company, brand, institution, sponsor, corporate partner or professional contributor (the “Company”).
They apply to all sponsorships, partnerships, corporate memberships, speaking engagements and related services.
ARTICLE 2 – INDEPENDENT RELATIONSHIP
The relationship between Le Boudoir and the Company is strictly independent.
Nothing herein shall be construed as creating:
● a partnership
● a joint venture
● an agency
● an employment relationship
Each Party acts in its own name and on its own behalf.
ARTICLE 3 – VALIDATION
Any collaboration requires:
● A written proposal or quotation
● Written acceptance
● Payment of the agreed deposit
No commitment shall be binding without written confirmation.
ARTICLE 4 – FINANCIAL TERMS
4.1 Payment Terms
Unless otherwise agreed:
● 50% upon signature
● 50% no later than 30 days before the event
Late payment shall trigger:
● statutory interest +10%
● €40 recovery fee
Services may be suspended in case of non-payment.
4.2 Currency and international tax
All amounts are expressed in euros unless otherwise specified.
Local taxes, duties or regulatory obligations applicable in the Company’s jurisdiction remain its sole responsibility.
Bank and currency conversion fees are borne by the Company.
ARTICLE 5 – CANCELLATION
In case of cancellation by the Company:
● More than 60 days prior: 50% retained
● Between 30–60 days: 75% retained
● Less than 30 days: 100% due
Force majeure situations will be assessed in good faith.
ARTICLE 6 – CONFIDENTIALITY
All strategic, financial or commercial information exchanged is strictly confidential.
This obligation survives for three (3) years after termination.
ARTICLE 7 – INTELLECTUAL PROPERTY
All concepts, formats, scenography, recordings and editorial content created by Le Boudoir remain its exclusive property.
The Company is granted a limited, non-exclusive right of use for agreed purposes only.
Unauthorized use is prohibited.
ARTICLE 8 – BRAND AND COMMUNICATION
The Company authorizes Le Boudoir to reference its name and logo in institutional communication.
Specific marketing uses require prior written approval.
ARTICLE 9 – COMPLIANCE AND ETHICS
The Company agrees to comply with:
● Anti-corruption laws
● International compliance regulations
● Fair competition rules
● Professional ethical standards
Breach may result in immediate termination.
ARTICLE 10 – NON-COMPETITION AND NON-DISPARAGEMENT
During the collaboration and for twelve (12) months thereafter, the Company shall not:
● Replicate proprietary formats
● Exploit methodologies competitively
● Damage the reputation of Le Boudoir
ARTICLE 11 – LIMITATION OF LIABILITY
Le Boudoir’s liability is strictly limited to the amount invoiced for the relevant service.
Under no circumstances shall it be liable for indirect or consequential damages.
ARTICLE 12 – FORCE MAJEURE AND HARDSHIP
In case of force majeure, obligations are suspended.
If unforeseeable circumstances render performance excessively onerous, the Parties agree to renegotiate in good faith.
ARTICLE 13 – ENTIRE AGREEMENT AND SEVERABILITY
These Corporate Terms constitute the entire agreement, complemented by the individual Terms & conditions of use.
Invalidity of one provision shall not affect the others.
ARTICLE 14 – GOVERNING LAW AND ARBITRATION
These Terms are governed by French law.
Disputes shall be submitted to:
● The competent courts of the registered office or
● ICC arbitration seated in Paris, in French or English.
